    这项协议用于www.lailailai.com及其客户（域名持有方或注册方）之间。因此，政策中使用“我方”和“我方的”来代指北京信海科技发展公司（www.lailailai.com），使用“你方”和“你方的”来代指域名持有者。

1.前言

    本注册协议（即“协议”）阐明了你方使用www.lailailai.com 的域名注册服务进行域名注册，以及你方注册该域名的条款和制约。为完成注册程序，你方必须承认已经阅读、理解并且同意接受协议的所有条款和制约、附随的费用目录、争议政策以及www.lailailai.com公布时将会或可能生效的任何条例或政策的约束。一经www.lailailai.com采纳，本协议即生效。根据www.lailailai.com 和ICANN之间的协议（即“ICANN协议”）规定，www.lailailai.com 是互联网名称与号码分配协会（即“ICANN”）认可的注册机构。你方承认www.lailailai.com 可以在必要的时候依照其与ICANN的协议或其他方式修改本协议。

2.域名的选择

    我方不会核查你方选择的域名或你方对该域名的使用是否侵犯其他方的合法权利。我方强调要求你方调查你方所选的域名或对其的使用是否侵犯其他方的权利，我方特别提议你方听取有资格的咨询顾问的建议。你方可以考虑请求对与你方的域名相关的一个或多个商标进行注册。你方应了解存在法庭指令我方取消、修改或转让你方域名的可能性。你方应了解如果我方受到有关你方域名诉讼的起诉或威胁，我方可以要求向你方转移责任，并且依照下列赔偿规定向我方作出赔偿。

3.费用和付款

    作为www.lailailai.com 提供的域名注册服务的报酬，你方同意在提交注册申请时向www.lailailai.com 支付所有必要的注册初始费用，以及依据公布在www.lailailai.com 网站上的www.lailailai.com 收费目录规定的更新费用。即使在注册期限结束之前你方的域名注册被暂停、取消或转让，所有费用，不论全部或部分，都不予退还。更新费用到期支付时会通知你方，你方有责任保证支付这项费用。如果在更新通知单上注明的时间内未支付上述费用，你方的注册将被撤销。你方同意www.lailailai.com对这类的撤销行为不负任何责任。

4.法定成年年龄

    www.lailailai.com 不会接受18周岁以下个人的协议和付款。因此，www.lailailai.com 要求与符合资格的个人签订协议。同样地，你方必须年满18周岁。否则必须由父母或监护人接受协议并且保证支付应有的费用。

5.前溯

    你方同意一旦有你方信用卡公司前溯、信用卡欺诈或其他推迟缴费的情况发生，你方将丧失对所选域名的所有权。www.lailailai.com 将全权决定占有该域名作为自有资产或是出让给其他方使用。

6.争议政策

    你方同意接受现行的统一域名争议解决政策（即“争议政策”）的约束，该政策被引用插入本协议中并成为协议的一部分。如果发生争议，任何有关你方域名使用的争议将服从第三方向你方注册域名提起争议时有效的争议政策的规定。你方还同意，如果第三方发起对域名的争议，你方将补偿并依照争议政策中包含的条款和制约转移www.lailailai.com 的责任。在得到ICANN批准的情况下www.lailailai.com 可在任何时间修订争议政策。对争议政策的修订生效后，你方继续注册域名的行为即表示你方已接受这些修订。如果你方不同意如此的修订，你方可以请求删除你方的域名。

7.你方信息的使用

    作为注册过程的一个部分，要求你方提供某些信息并且更新信息以保持信息的现时、完整和准确。这样的信息包括：(i) 你方的中、英文全称，可提供的邮政地址、电子邮件地址、语音电话号码和传真号码； (ii) 在注册方是一个组织、协会或公司的情况下为了便于联络，授权个人的中、英文全名。 (iii) 这个组织、协会或企业的中、英文名称。为更好地管理通过www.lailailai.com 注册的域名，我方将代表你方向ICANN提供下列信息。你方可以在递交注册申请时修改这些信息。这些信息不会影响所选域名的所有权。这些信息为： (1) 该域名的主要名称管理服务器和辅助名称管理服务器的IP 地址（互联网协议地址）；(2) 这些名称管理服务器的对应名称，(v) 域名的技术联络人的全名、邮政地址、电子邮件地址、语音电话号码和传真号码；(3) 域名的付费联络人的全名、邮政地址、电子邮件地址、语音电话号码和传真号码。你方同意并承认在更新注册域名时，要求你方提供的信息类型可能变更。如果你方不希望提供所要求的新的信息，你方的注册可能不被更新。你方承认蓄意地提供不准确的信息或蓄意地不立即更新信息将构成对本协议的严重违约，并将作为取消你方域名的根据。如果你方允许第三方使用域名，但你方仍是该域名的纪录持有者，并且有责任提供你方自己完整的联络信息以及提供并更新准确的技术、管理联络人信息。你方还同意如你方在十五（15）天内不回应www.lailailai.com 关于你方注册域名的联络细节的准确性的要求，这样的行为应构成对本协议的严重违约，并成为取消你方注册域名的充足理由。你方承认www.lailailai.com 将根据ICANN的要求公开你方在注册程序中提供的一些信息。另外，你方承认ICANN 可以提出与www.lailailai.com 可以或必须向公众或私人机构公开的信息的数量和类型相关的指导方针、限制和/或需求。除非需要用于维护你方的域名，www.lailailai.com 不会把你方的信息透露给任何第三方。你方可以要求取得www.lailailai.com 所拥有的你方信息的副本用以检查、修改或更新这些信息。

8.IP 地址（互联网协议地址）

    www.lailailai.com 维护所有可能分配给你方的任何及所有的IP号码和IP地址的控制权和所有权，并且全权保留修改或删除任何及所有的IP号码和IP地址的权利。

9.接收电子邮件

    在你方通过我方的在线申请处理系统递交域名申请之后，你方将直接从www.lailailai.com收到若干封电子邮件。只有在你方收到我方名为“域名注册成功通知信”且您已经完成了付费工作时，你方选择的域名才为有效。

10.安全性

    在你方通过我方的电子邮件申请处理系统进行域名注册时，你方有责任选择一种安全的方式来保护你方的域名注册纪录（包括你方的合约纪录和主机纪录）不被未经许可地修改。

11.应用政策

    如果你方违反适用的法律或互联网通用的使用政策用该域名发送未经请求的商业广告，或者如果你方将你方的域名用于相关的不法行为，www.lailailai.com 保留在这些情况下暂停或取消你方域名的权利。

12.代理和许可

    你方同意，如果你方的域名由作为你方代理（例如，互联网服务提供方，雇员等）的任何人代表你方进行注册，你方仍然作为当事人接受这里规定的所有条款和制约的约束，包括争议政策。你方同意如果你方许可第三方使用你方的域名，你方仍然是域名的持有者，并且仍然对所有依照本协议规定的义务负责。

13.责任限制

    你方同意www.lailailai.com 将不会对你方或任何其他个人的任何损失负责，损失的发生可能由于(a) 任何域名注册的遗失，(b) 你方域名的使用， (c) 对www.lailailai.com 的注册系统访问中断引起的访问延迟；(d) 你方和www.lailailai.com 之间无法投送的或是错误投送的数据；(e) www.lailailai.com 无法合理控制的事件；(f) 处理本申请；(g) 处理与你方域名相关纪录的任何修改；(h) 你方或你方的代理没有支付任何下述的费用；或 (i) 争议政策的运用。 另外，www.lailailai.com 不会对任何间接、特别、意外或引发的损失，或不论行为是合约规定的、侵权的（包括疏忽）或其他任何方式造成的任何类型的损失（包括利润损失）负责。在任何情况下， www.lailailai.com承担的最大责任都不会超过你方支付给www.lailailai.com的作为你方域名注册的总金额。

14.补偿

    你方同意对www.lailailai.com 及其他适用的域名注册机构，包括网络解决方案公司（Network Solutions Inc.）和他们各自的主管、官员、雇员和代理进行维护、补偿并转移责任，使之不必负担任何损失、破坏、或开支，包括由于任何第三方发起的与你方域名或对其的使用有关的索赔、诉讼或要求引起的合理律师费用。这是争议政策规定要求的补偿以外的补偿。

15.陈述和保证

    你方陈述并保证，就你方所知和认为，域名的注册或对其直接或间接使用的方式都没有侵犯第三方的合法权利。此外你方还陈述并保证你方提供的有关你方注册的所有信息是完整而准确的。www.lailailai.com 没有作过任何形式的陈述或保证，说明本协议规定的注册域名的使用可以保护你方不会受到对你方域名注册的质询或者不会暂停、取消或转让注册给你方的域名。

16. 违约与撤回

    你方必须在收到www.lailailai.com的通知后的30天内，对本协议或争议政策的任何违约行为作出补偿。如果你方没有补偿违约，www.lailailai.com 可以暂停、取消、转让或修改你方对该域名的注册。此外你方承认并同意你方对域名的注册可由任何ICANN程序、任何注册机构（包括www.lailailai.com）或ICANN采用政策认可的注册管理程序、或者根据情况由任何其他TLD注册管理程序进行暂停、取消或转让，以便 (a) 改正在管理域名过程中www.lailailai.com、其他注册机构或注册管理员发生的错误，或 (b) 解决关于该域名的争议。你方也同意www.lailailai.com 在提前七（7）天发出书面通知的情况下，或当www.lailailai.com从有效管辖的法庭接到要求暂停、取消、转让或修改域名注册的经完全鉴定的法令或仲裁判决时，可以全权暂停、取消、转让或修改域名注册。

17.转换注册机构

    NSI 政策允许注册方就现有的域名转换注册机构。你方同意只有在服从政策或ICANN时常提供其他政策的条件下，你方可以转换注册机构。本政策规定： (a) 你方可以从最初向注册机构注册后的第61天开始就现有的域名转换你方的注册机构；(b) 你方不能得到支付给现有注册机构的费用中任何一部分的退款。

18.通知

    你方同意，如果通知已按照你方提供的联络信息寄发，根据本协议规定www.lailailai.com 需要发出的通知即可被认为已经发出。

19.可分割性

    你方同意本协议的条款可以分割。如果任何的条款或规定被宣布为无效或无法实施，不会影响到其余的条款和规定，他们继续具有约束力。

20.协议的修订

    除非本协议又另外的规定，你方同意在协议期间我方可以：(I) 修订本协议的条款和制约；并/或 (ii) 在任何时间更改本协议规定的部分服务。一旦修订的协议或服务的更改在www.lailailai.com的网站上公布，或用电子邮件或信件通知你方，任何这样的修订或更改立即具有有效约束力。你方同意定期检查我方的网站，包括我方网站上可访问的本协议的现有版本，以便了解这样的修订。如果你方不同意对协议的任何修订，通过用电子邮件或信件的方式通知我方，你方可以随时终止本协议，回信的地址为：邮编100044 中国北京市首体南路6号新世纪饭店写字楼1858室 www.lailailai.com收。我方在收到并处理后你方的终止通知开始生效。如果你方终止与我方的协议，你方已支付的所有费用不予退回，但不会向你方增收附加费用。如你方在本协议修订或服务更改之后仍继续使用www.lailailai.com的服务，表示你方同意服从并遵守这样的修订或更改。你方不应信赖，我方也不认同来自下述渠道的的陈述，(I) 你方用以申请我方服务的任何第三方的代理、代表或雇员；或 (ii) 具有一般信息特性的公布在我方网站上的信息。任何www.lailailai.com 的雇员、承包人、代理或代表都没有权利改变或修正本协议的条款和制约。

21.通知与公告

    作为我方的客户，你方授权我方将我方认为你方可能有兴趣的信息通知你方。通知和公告可以包括商业电子邮件和其他说明变更、更新、新产品和服务的通知，或者其他符合互联网安全性或可提高你方在互联网的地位的信息，以及/或其他相关内容。如果你方不希望收到大批电子邮件请求通知或公告，请发电子邮件到remove@www.lailailai.com.

22.不予担保

    通过注册你方选择的域名，你方同意即使该域名在你方注册时是有效的，注册本身不能保证不存在对该项注册或你方对域名使用的异议。

23.拒绝权

    我方全权保留拒绝注册你方选择的域名或为你方注册其他www.lailailai.com服务的权利，以及在收到你方对该服务的付款后的三十（30）天内删除你方域名的权利。如果我方没有注册你方的域名，或者我方在上述三十（30）天之内删除你方的域名，我方同意退还你方已支付的所有适用的费用。你方同意我方不会负责你方由于我方拒绝注册或删除你方域名而引起的损失或赔偿。

24.适用法律

    除非在争议政策中阐明，本协议、你方的权利和义务以及所有依据本协议提起的诉讼都应服从美国和加利福尼亚的法律。除非另外在争议政策中阐明有关争议的内容，任何执行本协议的行动或有关你方使用www.lailailai.com 网站的事项将专门递交到美国加利福尼亚州联邦地方法院。

25.一般情况

    本协议、www.lailailai.com 收费目录和争议政策，连同所有对他们的修正和更改，构成了你方与www.lailailai.com 之间完全而专属的协议，并替代和支配之前所有的建议书、协议书或其他通信文件。本政策未有任何含义说明在双方之间建立任何代理、合作或其他形式的联合企业。www.lailailai.com 没有要求你方履行任何条款将不会影响在其后的时间要求履行任何条款的权利，www.lailailai.com 的不履行任何条款的弃权声明书也不能被认为是对该条款本身的弃权声明。如果本协议的任何条款依照任何适用的法律或由适用的法庭决议决定是无法实施或无效的，这样的无法实施性和无效性将不会导致本协议整体无法实施或无效。www.lailailai.com 将用有效可实施的、尽可能满足原始条款中反映www.lailailai.com的初衷和目的的条款来修正或替代这样的条款。除非有www.lailailai.com 签署的书面文件，本协议的所有条款，包括www.lailailai.com 收费目录和争议政策，都不可由你方进行修正或更改。

1.Introduction

This Registration Agreement (“Agreement”) sets forth the terms and conditions of your use of the domain name registration services of paycenter.com.cn to register an Internet domain name, as well as your registration of that domain name. To complete the registration process, you must acknowledge that you have read, understood, and agree to be bound by all terms and conditions of the Agreement, the accompanying fee schedule, dispute policy and any rules or policies that are or may become effective when published by paycenter.com.cn. This Agreement will become effective if accepted by paycenter.com.cn. paycenter.com.cn is an accredited registrar with the Internet Corporation for Assigned Names and Numbers (“ICANN”) under an agreement between paycenter.com.cn and ICANN (“ICANN Agreement”). You acknowledge that paycenter.com.cn may modify this Agreement if necessary to comply with its ICANN Agreement, or otherwise.

2.Selection of a Domain Name

We do not check to see whether the domain name you select, or the use you make of the domain name, infringes legal rights of others. We urge you to investigate to see whether the domain name you select or its use infringes legal rights of others, and in particular we suggest you seek advice of competent counsel. You may with to consider seeking one or more trademark registrations in connection with your domain name. You should be aware that there is the possibility we might be ordered by a court to cancel, modify, or transfer your domain name. You should be aware that if we are sued or threatened with lawsuit in connection with your domain name, we may turn to you to hold us harmless and indemnify us, pursuant to the indemnification provision below.

3.Fees and Payment

As consideration for the domain name registration services provided by paycenter.com.cn to you, you agree to pay paycenter.com.cn, at the time of submitting your application for registration, all applicable initial registration fees and renewal fees in accordance with paycenter.com.cn’s fee schedule published at paycenter.com.cn’s web site. All fees are non-refundable, in whole or in part, even if your domain name registration is suspended, cancelled or transferred prior to the end of the registration term. You will be notified when renewal fees are due, and it shall be your responsibility to ensure that such fees are paid. Should these fees go unpaid by the time specified in the renewal notice, your registration will be cancelled. You agree that paycenter.com.cn shall have no liability whatsoever with respect to any such cancellation.

4.Age of Majority

paycenter.com.cn cannot accept agreements and payments from persons under the age of 18 year. Therefore, paycenter.com.cn requires that its agreements be made with a person who is qualified to contract. As such, you must be over the age of 18 year. Otherwise, a parent or guardian must accept this agreement and ensure the proper payment.

5.Charge Backs

You agree that you will lose all rights upon the selected domain name in case of a charge back by your credit acrd company, credit card fraud or any other reserved payment. paycenter.com.cn will decide at his sole discretion whether to hold the name in his own portfolio or to release it for use by others.

6.Dispute Policy

You agree to be bound by the current Uniform Domain Name Dispute Resolution Policy (“Dispute Policy”) which is incorporated in to this Agreement by reference and made a part of this Agreement. Any disputes regarding the right to use your domain name will be subject to the Dispute Policy provisions in effect at the time your domain name registration is disputed by a third party, in the event such a dispute arises. You also agree that, in the event a domain name dispute arises with any third party, you will indemnify and hold paycenter.com.cn harmless pursuant to the terms and conditions contained in the Dispute Policy. paycenter.com.cn may modify the Dispute Policy with the permission of ICANN at any time. Your continued registration of your domain name after modification to the dispute policy becomes effective constitutes your acceptance of those modifications. If you do not agree to such a modification, you may request that your domain name be deleted.

7.Use of Your Information

As part of the registration process, you are required to provide certain information and to update this information to keep it current, complete and accurate. This information includes: (I) your full name, both in Chinese and English, postal address, e-mail address, voice telephone number, and fax number if available; (ii) the name, both in Chinese and English of an authorized person for contact purposes in the case of a registrant that is an organization, association, or corporation. (iii) the name, both in Chinese and English, of such organization, association or corporation. To better manage the domain names registered through paycenter.com.cn, we will provide the following information on behalf of you to ICANN. You can change these information before submitting your registration. These information won’t affect the ownership of the chosen domain name. These informations are: (1) the IP addresses of the primary name server and the secondary name server for the domain name; (2) the corresponding names of those name servers, (v) the full name, postal address, e-mail address, voice telephone number, and fax number of the technical contact for the domain name; (3) the full name, postal address, e-mail address, voice telephone number, and fax number of the billing contact for the domain name. You agree and acknowledge that when you renew your domain name registration, the type of information you are required to provide may have changed. If you do not wish to provide the new required information, your registration may not be renewed. You acknowledge that willfully providing inaccurate information or willfully failing to update information promptly will constitute a material breach of this Agreement and will be a basis for cancellation of your domain name. If you license use of a domain name to a third party, you are nonetheless the holder of record of the domain name and are responsible for providing your own full contact information and for providing and updating accurate technical, administrative contact information. You further agree that your failure to respond for over fifteen (15) calendar days to inquiries by paycenter.com.cn concerning the accuracy of contact details associated with your registration shall constitute a material breach of this Agreement and will be sufficient basis for cancellation of your domain name registration. You acknowledge that paycenter.com.cn will make some of the information that you provide during the registration process publicly available as required by ICANN. Additionally, you acknowledge that ICANN may impose guidelines, limits and/or requirements that relate to the amount and type of information that paycenter.com.cn may or must make available to the public or to private entities. paycenter.com.cn will not otherwise disclose your information to any third party unless it is required to maintain your domain name. You may request a copy of your information in paycenter.com.cn’s possession to review, modify or update such information.

8.IP Address

paycenter.com.cn maintains control and ownership of any and all IP numbers and IP addresses that may be assigned to you and reserves in its sole discretion the right to change or remove any and all IP numbers and addresses.

9.Receive emails

After submitting your application for a domain name through our online application process system, you will receive several emails directly from paycenter.com.cn. Only when you finish payment of the domain and receive our email with subject of‘domain name is actived’, your chosen domain name become valid.

10.Security

When you register a domain name with us through our e-mail application process, you are responsible for selecting a security option to protect your domain name registration records (including your contract records and host records) from unauthorized changes.

11.Use Policies

paycenter.com.cn reserves the right to suspend or cancel your domain name in the event that you use the domain name to send unsolicited commercial advertisements or contradiction to either applicable laws or customary acceptable usage policies of the Internet, or if you use your domain name in connection with unlawful activity.

12.Agents and Licenses

You agree that, if your domain name is registered on your behalf by anyone acting as your agent (e.g., an Internet Service Provider, employee, etc.), you are nonetheless bound as a principal by all terms and conditions provided therein, including the Dispute Policy. You agree that if you license the use of your domain name to a third party, you remain the domain name holder, and remain responsible for all obligations under this Agreement.

13.Limitation of Liability

YOU AGREE THAT PAYCENTER.COM.CN WILL NOT BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY LOSS THAT MAY OCCUR DUE TO (a) ANY LOSS OF REGISTRATION OF A DOMAIN NAME, (b) THE USE OF YOUR DOMAIN NAME, (c) ACCESS DELAYS OF ACCESS INTERRUPTIONS TO PAYCENTER.COM.CN’S REGISTRATION SYSTEM; (d) THE NON-DELIVERY OR MISDELIVERY OF DATA BETWEEN YOU AND PAYCENTER.COM.CN; (e) EVENTS BEYOND PAYCENTER.COM.CN’S REASONABLE CONTROL; (f) THE PROCESSING OF THIS APPLICATION; (g) THE PROCESSING OF ANY MODIFICATION TO THE RECORD ASSOCIATED WITH YOUR DOMAIN NAME, (h) THE FAILURE OF YOU OR YOUR AGENT TO PAY ANY FEES HEREUNDER; OR (I) THE APPLICATION OF THE DISPUTE POLICY. FURTHER, PAYCENTER.COM.CN WILL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, OR CONSEQUENTIAL DAMAGES OR ANY KIND (INCLUDING LOST PROFITS) REGARDLESS OF THE FORM OF ACTION WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, DAMAGES.IN NO EVENT SHALL PAYCENTER.COM.CN'S MAXIUMUM LIABILITY EXCEED THE TOTAL AMOUNT PAID BY YOU TO PAYCENTER.COM.CN FOR REGISTRATION OF YOUR DOMAIN NAME.

14.Indemnification

You agree to defend, indemnify and hold harmless paycenter.com.cn and any applicable domain name Registry, including Network Solutions Inc., and the directors, officers, employees and agents of each of them, for any loss, damages or costs, including reasonable attorney's?fees, resulting from any third party claim, action, or demand related to your domain name or the use thereof. This indemnification is in addition to any indemnification required under the Dispute Policy.

15.Representations and Warranties

You represent and warrant that, to the best of your knowledge and belief, neither the registration of the domain name nor the manner in which it is directly or indirectly used infringes the legal rights to a third party. You further represent and warrant that all information provided by you in connection with your registration in complete and accurate. paycenter.com.cn makes no representations or warranties of any kind that registration of use of a domain name under this Agreement will protect you either from challenges to your domain name registration or from suspension, cancellation or transfer of the domain name registered to you.

16. Breach and Revocation

Any breach by you of this Agreement or the Dispute policy must be remedied by you within 30 days of notice by paycenter.com.cn. if you fail to cure the breach, paycenter.com.cn may suspend, cancel, transfer or modify your registration of the domain name. You further acknowledge and agree that your registration of a domain name is subject to suspension, cancellation or transfer by any ICANN procedure, by any registrar (including paycenter.com.cn) or registry administrator procedures approved by an ICANN-adopted policy, or by any other TLD registry administrator procedures as the case by be, (a) to correct mistakes by paycenter.com.cn, another registrar or the registry administrator in administering the name or (b) for the resolution of disputes concerning the domain name. You also agree that paycenter.com.cn shall have the right in its sole discretion to suspend, cancel, transfer, or otherwise modify a domain name registration upon seven (7) calendar days prior written notice, or at such time as paycenter.com.cn receives a properly authenticated order from a court of competent jurisdiction, or arbitration award, requiring the suspension, cancellation transfer or modification of the domain name registration.

17.Change in Registrar

NSI policy permits Registrant to change its Registrar for an existing domain name. You agree that you can change the Registrar only in accordance with the policy or other policy from time to time provided by ICANN. The policy provides: (a) you can change your Registrar for an existing domain name beginning on the 61st day after the initial registration with the Registrar.;(b) You obtains no refund of any part of the fee paid to existing Registrar.

18.Notice

You agree that any notices required to be given under this Agreement by paycenter.com.cn will be deemed to have been given if delivered in accordance with the contact information you have provided.

19.Severability

You agree that the terms of this Agreement are severable. If any term or provision is declared invalid or unenforceable, it shall not affect the remaining terms or provisions, which shall continue to be binding.

20.Modifications to Agreement

Except as otherwise provided in this Agreement, you agree, during the term of this Agreement, that we may: (I) revise the terms and conditions of this Agreement; and/or (ii) change part of the services provided under this Agreement at any time. Any such revision or change will be binding and effective immediately upon posting of the revised Agreement or change to the service(s) on paycenter.com.cn’s web sites, or upon notification to you by e-mail or mail. You agree to periodically review our web sites, including the current version of this Agreement available on our web sites, to be aware of any such revisions. If you do not agree with any revision to the Agreement, you may terminate this Agreement at any time by providing us with notice by e-mail or mail addresses as follows, Attention: Registrar Business Affairs, Room 1858, New Century Office Tower, No.6 Southern Road Capital Gym, Beijing 100044, P.R.China. Notice of your termination will be effective on receipt and processing by us. Any fees paid by you if you terminate your Agreement with us are nonrefundable, but you will not incur any additional fees. By continuing to use paycenter.com.cn’s services after any revision to this Agreement or change is service(s), you agree to abide by and be bound by any such revisions or changes. We are not bound by nor should you rely on any representation by (I) any agent, representative or employee of any third party that you may use to apply for our services; or in (ii) information posted on our web site of a general informational nature. No employee, contractor, agent or representative of paycenter.com.cn is authorized to alter or amend the terms and conditions of this Agreement.

21. Notices and Announcements

You authorize us to notify you as our customer of information that we deem is of potential interest to you. Notices and announcements may include commercial e-mails and other notices describing changes, upgrades, new products and services or other information pertaining to Internet security or to enhance your identity on the Internet and/or other relevant matters. If you do not wish to receive bulk email solicitation notices or announcements please send us an email at remove@paycenter.com.cn.

22.No Guaranty

You agree that, by registration of your chosen domain name, even when such domain name is available at time you registered, such registration does not confer immunity from objection to either the registration or use of your domain name.

23. Right of Refusal

We, in our sole discretion, reserve the right to refuse to register your chosen domain name or register you for other paycenter.com.cn’s service(s), or to delete your domain name within the first thirty (30) calendar days from receipt of your payment for such services. In the event we do not register your domain name, or we delete your domain name within such thirty (30) calender day period, we agree to refund any applicable fee you have paid. You agree that we shall not be liable to you for loss or damages that may result from our refusal to register, the deletion your domain name.

24.Governing Law

This Agreement, your rights and obligations and all actions contemplated by this Agreement shall be governed by the laws of the United States of America and the State of California, except as may be set forth in the Dispute Policy. Except as otherwise set forth in the Dispute policy with respect to disputes, any action to enforce this Agreement or any matter relating to your use of the paycenter.com.cn site shall be brought exclusively in the United State District Court for the District of California.

25.General

This Agreement, the paycenter.com.cn fee schedule and the Dispute Policy, together with all amendments or modifications to any of them, constitute the complete and exclusive agreement between you and paycenter.com.cn, and supersede and govern all prior proposals, agreements, or other communications. Nothing contained in this Policy shall be construed as creating any agency, partnership, or other form of joint enterprise between the parties. The failure of paycenter.com.cn to require your performance of any provision hereof shall not affect the full right to require such performance at any time thereafter; nor shall the waiver by paycenter.com.cn of a breach of any provision hereof be taken or held to be a waiver of the provision itself. In the event that any provision of this Agreement shall be unenforceable or invalid under any applicable law or be so held by applicable court decision, such unenforceability or invalidity shall not render this Agreement unenforceable or invalid as a whole. paycenter.com.cn will amend or replace such provision with one that is valid and enforceable and which achieves, to the extent possible, the original objectives and intent of paycenter.com.cn as reflected in the original provision. No provision of this Agreement, including the paycenter.com.cn’s fee schedule and the Dispute Policy, may not be amended or modified by you except by means of a written document signed by paycenter.com.cn.
